1. About Soradin

Soradin Inc. is a technology company incorporated in Ontario, Canada, operating an online professional discovery platform at soradin.com. Soradin maintains a comprehensive public directory of estate planning professionals across Canada and the United States, including estate lawyers, notaries, financial advisors, certified public accountants, insurance brokers and funeral planning professionals.

Soradin's mission is to educate Canadian and American families about estate planning and connect them with qualified professionals who can help them navigate the process.

Soradin is a technology directory platform only. Soradin does not provide legal, financial, tax, insurance, funeral or any other professional services. All professional services are provided solely by the independent professionals listed on the platform.

2. Acceptance of Terms

By accessing or using the Soradin platform, website or any related services you agree to be bound by these Terms of Service. If you do not agree to these Terms do not use the platform.

These Terms apply to all users of the platform including families seeking estate planning information and professionals listed on or using the platform.

These Terms constitute a binding legal agreement between you and Soradin Inc.

3. The Soradin Directory

3.1 Public Directory Listings

Soradin maintains a directory of estate planning professionals compiled from publicly available sources including but not limited to government regulatory registries, state and provincial bar associations, financial regulatory bodies including FINRA, CIRO and SEC IAPD, insurance regulatory authorities, accounting regulatory bodies, funeral regulatory authorities, and publicly available business websites and professional profiles.

Professional profiles on Soradin may be created using publicly available information without the express prior consent of the individual professional. This practice is consistent with established directory and marketplace platforms including Google Business, Yelp, Healthgrades and Avvo, and is supported by applicable public record doctrine and freedom of expression principles in both Canada and the United States.

Information displayed on public directory listings is limited to publicly available professional and business information including name, professional title, firm name, business address, business phone number, professional credentials and registration status.

3.2 Unclaimed Profiles

Profiles that have not been claimed by the professional are clearly labeled as unclaimed public directory listings. Unclaimed profiles:

• Display a generic silhouette avatar rather than a personal photograph
• Do not display personal email addresses
• Do not enable direct appointment booking
• Are clearly identified as unverified public listings compiled from public records
• Include a visible option for the professional to claim or where applicable request removal

Soradin does not represent that professionals with unclaimed profiles are active users of the platform, have endorsed Soradin or are actively accepting new clients through the platform.

3.3 Claimed Profiles

Professionals may claim their existing profile or create a new profile by completing Soradin's verification process. Claimed profiles enable professionals to control and edit their profile content, upload a professional photograph and biography, receive consultation requests through the Soradin inbox, publish educational articles and content, access platform analytics and performance data and select and manage their subscription tier. Claimed listings must continue to display the professional's real name as it appears in the public licensing record. Soradin may restore the licensed name if it is altered.

3.4 Profile Accuracy

Soradin makes reasonable efforts to ensure directory information is accurate but cannot guarantee the completeness, accuracy or currency of all profile information. Soradin is not responsible for inaccuracies in publicly sourced professional information.

Professional licensing disclaimer: Soradin does not independently verify that professionals listed on the platform currently hold valid active licenses or professional registrations. The presence of a professional on the Soradin platform is not a representation that they are currently licensed, currently practicing or currently accepting new clients. Families should independently verify professional licensing status through the relevant regulatory body before engaging any professional's services.

3.5 Canadian Professional Profiles — Right to Request Removal

Professionals licensed or operating in Canada who wish to have their unclaimed profile removed from the Soradin directory may submit a written removal request to support@soradin.com. Soradin will review and process removal requests within 14 business days in accordance with Canada's Personal Information Protection and Electronic Documents Act and applicable provincial privacy laws. Soradin reserves the right to maintain basic factual public record information where removal would conflict with legitimate public interest in professional verification.

3.6 United States Professional Profiles — Public Record Policy

Soradin maintains directory listings for professionals licensed in the United States based on publicly available regulatory data. Consistent with established legal precedent, First Amendment protections and the public record doctrine applicable in the United States, Soradin does not remove US professional listings upon individual request where the information is derived from public regulatory records. Professionals may claim their profile at any time free of charge to control how their information is presented on the platform, add additional information, respond to reviews and access platform features.

4. Consultation Requests

4.1 How Consultation Requests Work

Soradin facilitates consultation requests between families and estate planning professionals through the platform's messaging system. When a family submits a consultation request the request is delivered to the professional's Soradin inbox if the profile is claimed. For unclaimed profiles where Soradin holds a publicly sourced contact email, Soradin may forward the consultation request to that address to notify the professional of consumer interest in their services.

4.2 No Professional Relationship Created

Submitting a consultation request through Soradin does not create a professional relationship, attorney-client relationship, advisor-client relationship or any other professional engagement between the family and the professional. A professional relationship is only formed when both the professional and the family have expressly agreed to engage with each other.

4.3 Soradin Not a Party

Soradin is not a party to any professional engagement and has no responsibility for the quality, accuracy, legality or outcome of any services provided by professionals listed on the platform.

5. Professional Subscriptions

5.1 Subscription Tiers

Soradin offers optional paid subscription tiers to professionals who wish to access enhanced platform features. Current subscription tiers and their features are described on the Soradin pricing page at soradin.com/pricing. Soradin reserves the right to modify subscription features with reasonable notice to subscribers.

5.2 Billing and Payment

Subscription fees are billed monthly or annually as selected at the time of subscription. All fees are charged in Canadian dollars for Canadian subscribers and US dollars for US subscribers unless otherwise specified. Payment is processed through Stripe Inc. and is subject to Stripe's own terms of service available at stripe.com/terms. Soradin is not responsible for payment processing errors, failures or disputes caused by Stripe.

5.3 Automatic Renewal

Subscriptions renew automatically at the end of each billing period unless cancelled prior to the renewal date. You authorize Soradin to charge your payment method on file for each renewal period.

5.4 Failed Payments

If a payment fails Soradin will attempt to collect payment up to three times over a seven day period. If payment cannot be collected the subscription will be downgraded to the free tier until payment is resolved. Soradin will notify the professional by email of any failed payment.

5.5 Cancellation

Professionals may cancel their subscription at any time through their account settings or by contacting support@soradin.com. Cancellation takes effect at the end of the current billing period. Professionals retain access to paid features until the end of the paid period.

5.6 Refund Policy

Subscription fees are non-refundable except where required by applicable law. Partial refunds for unused subscription periods are not provided. If you believe you have been charged in error please contact support@soradin.com within 30 days of the charge.

5.7 Price Changes

Soradin reserves the right to modify subscription pricing. Existing subscribers will receive at least 30 days written notice before any price increase takes effect. Continued use of the subscription after the effective date of a price change constitutes acceptance of the new pricing.

5.8 Data After Cancellation

Upon cancellation of a subscription the professional's profile reverts to free unclaimed or basic claimed status. Profile information, consultation request history and published content may be retained in accordance with Soradin's data retention policy. Professionals may request deletion of their account data by contacting support@soradin.com.

5.9 Account Termination by Soradin

Soradin reserves the right to suspend or terminate any professional's account and subscription without refund if the professional violates these Terms, engages in fraudulent or abusive conduct, provides false or misleading professional credentials or information or engages in conduct that Soradin determines in its reasonable discretion is harmful to the platform, its users or its reputation. Upon termination the professional's profile may be retained as an unclaimed public directory listing at Soradin's discretion.

6. Reviews and Ratings

6.1 Who Can Leave Reviews

Reviews may be submitted by individuals who have had a genuine consultation or professional engagement with a professional listed on Soradin. Submitting a false or fabricated review is a violation of these Terms.

6.2 Review Standards

Reviews must:

• Be based on genuine first-hand experience
• Not contain defamatory, abusive, discriminatory or unlawful content
• Not disclose confidential information from a professional engagement
• Not be submitted by the professional themselves or parties with a conflict of interest
• Not be submitted in exchange for payment, discounts or other consideration

6.3 Review Disputes

Professionals who believe a review is false, defamatory or violates these Terms may submit a dispute to support@soradin.com with supporting documentation. Soradin will review disputes and may remove reviews that clearly violate these Terms. Soradin is not obligated to remove reviews solely because a professional disagrees with their content.

6.4 Ratings Disclaimer

Any ratings or scores displayed on Soradin profiles represent an aggregation of user submitted reviews and publicly available information. Ratings are not an endorsement of any professional by Soradin and are not a guarantee of the quality, competency or outcome of any professional's services. Ratings represent opinions not statements of fact.

6.5 User Generated Content Liability

Soradin is an interactive computer service and is not the publisher or speaker of user generated content including reviews and consultation messages submitted by third parties. To the fullest extent permitted by applicable law Soradin is not liable for user generated content. Soradin reserves the right but not the obligation to monitor, edit or remove user generated content that violates these Terms.

7. Professional Independence

All professionals listed on Soradin operate independently of Soradin. Professionals are not employees, contractors, agents, partners or representatives of Soradin. Nothing in these Terms creates or shall be construed to create an employment, contractor, partnership, joint venture or agency relationship between Soradin and any professional.

Soradin does not supervise, endorse, recommend or guarantee the services of any professional listed on the platform. Any professional advice, services or recommendations provided through connections made via Soradin are solely the responsibility of the professional providing them.

8. No Professional Advice

All content on Soradin including articles, guides, blog posts and educational materials is provided for informational purposes only and does not constitute legal, financial, tax, insurance or any other professional advice. Nothing on Soradin creates a professional relationship of any kind between Soradin and any user.

Families should consult qualified licensed professionals before making any estate planning, financial, legal or insurance decisions.

9. Professional Content Submissions

Professionals with active subscriptions may submit articles and educational content for publication on the Soradin platform. By submitting content professionals grant Soradin a non-exclusive, royalty-free, perpetual, worldwide license to publish, display, distribute and promote the content on the platform and in marketing materials.

Submitted content must be educational in nature, accurate, relevant to estate planning topics and must not constitute professional advice directed at specific individuals. Professionals are solely responsible for ensuring their submitted content complies with applicable professional conduct rules and regulations in their jurisdiction. Soradin reserves the right to edit, reject or remove submitted content at its discretion.

10. User Conduct

Users of the platform agree not to:

• Submit false, misleading or defamatory information
• Impersonate any person or professional
• Submit consultation requests for purposes other than genuine estate planning inquiries
• Use contact information obtained through Soradin to solicit professionals for competing platforms or services
• Harvest, scrape or systematically collect professional contact information from the platform for any purpose
• Attempt to circumvent platform security, access controls or verification processes
• Use the platform for spam, unsolicited commercial messages or any unlawful purpose
• Interfere with the operation of the platform or other users' access to it
• Misrepresent credentials, qualifications or professional status
• Submit fraudulent or fabricated reviews
• Use the platform in any way that violates applicable laws or regulations

Soradin reserves the right to suspend or terminate access for any user who violates these Terms.

11. Anti-Spam and CASL Compliance

Soradin complies with Canada's Anti-Spam Legislation in all commercial electronic messages sent to Canadian recipients. Commercial electronic messages sent by Soradin to professionals are sent pursuant to implied consent under CASL where the professional has conspicuously published their business contact information in a publicly accessible location for professional purposes without any statement indicating they do not wish to receive unsolicited messages, or pursuant to express consent where the professional has opted in to receive communications from Soradin.

All commercial electronic messages from Soradin include a clear and functional unsubscribe mechanism. Recipients may unsubscribe at any time by clicking the unsubscribe link in any message or by contacting support@soradin.com. Unsubscribe requests will be processed within 10 business days.

12. Copyright Infringement — DMCA Notice and Takedown

Soradin respects intellectual property rights. If you believe that content on the Soradin platform infringes your copyright you may submit a notice to Soradin's designated copyright agent at support@soradin.com with the following information:

• A description of the copyrighted work you claim has been infringed
• A description of where the allegedly infringing content appears on the platform
• Your contact information including name, address, telephone number and email
• A statement that you have a good faith belief that the use is not authorized by the copyright owner
• A statement under penalty of perjury that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf
• Your physical or electronic signature

Soradin will review and respond to valid DMCA notices in accordance with applicable law. Repeat infringers may have their accounts terminated.

13. Intellectual Property

All platform content, branding, software, design and materials owned or licensed by Soradin are protected by applicable copyright, trademark and intellectual property laws. You may not copy, reproduce, distribute, modify or create derivative works from Soradin's proprietary content without prior written permission.

Professional profile information compiled from public regulatory sources remains subject to applicable public record doctrine. Third party trademarks, firm names and professional designations displayed on the platform belong to their respective owners and their display does not imply any affiliation with or endorsement of Soradin.

14. Third Party Services

The Soradin platform integrates with third party services including Stripe for payment processing, Vercel for platform hosting and Supabase for database services. Soradin is not responsible for the performance, availability or actions of third party services. Your use of third party services is subject to their own terms of service and privacy policies. Soradin recommends you review the terms and privacy policies of all third party services you interact with through the platform.

15. Accessibility

Soradin is committed to making the platform accessible to all users including those with disabilities. Soradin strives to conform to the Web Content Accessibility Guidelines WCAG 2.1 Level AA standards in accordance with applicable requirements under the Americans with Disabilities Act Title III for US users and the Accessible Canada Act and applicable provincial accessibility legislation for Canadian users including the Accessibility for Ontarians with Disabilities Act.

Users who experience accessibility barriers may contact support@soradin.com to request assistance or an alternative accessible format. Soradin will make reasonable efforts to accommodate accessibility requests promptly.

16. Beta Features

Soradin may from time to time offer beta or experimental features on the platform. Beta features are provided on an as-is basis without warranties of any kind. Soradin may modify or discontinue beta features at any time without notice. Your use of beta features is at your own risk.

17. Limitation of Liability

To the fullest extent permitted by applicable law Soradin shall not be liable for any indirect, incidental, consequential, special, exemplary or punitive damages arising from or related to use of the platform including damages for loss of profits, data, business or goodwill.

Soradin is not liable for the accuracy of publicly sourced professional directory information, the quality or outcome of professional services arranged through the platform, the conduct of professionals listed on the platform, any professional advice provided by professionals connected through the platform or the actions of third party service providers.

Soradin's total aggregate liability for any claim relating to the platform shall not exceed the greater of one hundred Canadian dollars or the total amount paid by the claimant to Soradin in the twelve months preceding the claim.

Some jurisdictions do not permit certain limitations of liability. In such jurisdictions Soradin's liability is limited to the maximum extent permitted by applicable law.

18. Indemnification

You agree to indemnify, defend and hold harmless Soradin Inc. and its officers, directors, employees, contractors and agents from and against any claims, damages, losses, costs and expenses including reasonable legal fees arising from your use of the platform, your violation of these Terms, your submission of false or misleading information, your violation of any applicable law or third party rights or your conduct in connection with professionals or families you connect with through the platform.

19. Force Majeure

Soradin is not liable for any failure or delay in performance resulting from causes beyond its reasonable control including natural disasters, acts of government, internet or telecommunications failures, cyberattacks, power failures, pandemics or other events outside Soradin's reasonable control. Soradin will make reasonable efforts to resume normal operations as quickly as possible following a force majeure event.

20. Dispute Resolution

20.1 Informal Resolution First

Before initiating any formal dispute resolution process both parties agree to attempt to resolve the dispute informally. Please contact support@soradin.com describing your dispute and allowing 30 days for informal resolution before proceeding to formal dispute resolution.

20.2 Canadian Users

Disputes between Soradin and Canadian users shall be governed by the laws of Ontario, Canada. Formal disputes shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

20.3 United States Users

For disputes involving US users Soradin and the user agree to resolve disputes through binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules rather than in court except that either party may bring individual claims in small claims court.

CLASS ACTION WAIVER: You and Soradin agree that disputes will be resolved only on an individual basis and not as a class action, collective action or representative proceeding. You waive any right to participate in a class action against Soradin.

This arbitration provision does not apply to claims that cannot be arbitrated under applicable law.

21. Notices

Soradin may provide notices to you by email to the address associated with your account or by posting notices on the platform. You may provide notices to Soradin by email to support@soradin.com. Notices are effective upon sending. It is your responsibility to maintain an accurate email address in your account.

22. Disclaimers

THE PLATFORM IS PROVIDED ON AN AS IS AND AS AVAILABLE BASIS WITHOUT WARRANTIES OF ANY KIND EXPRESS OR IMPLIED INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OR NON-INFRINGEMENT.

SORADIN DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

SORADIN DOES NOT ENDORSE OR RECOMMEND ANY PROFESSIONAL LISTED ON THE PLATFORM.

SORADIN DOES NOT VERIFY THE PROFESSIONAL CREDENTIALS, LICENSING STATUS OR QUALIFICATIONS OF PROFESSIONALS LISTED ON THE PLATFORM.

23. Changes to These Terms

Soradin may update these Terms at any time. Material changes will be communicated to registered users by email at least 14 days before taking effect. Continued use of the platform after updated Terms are posted constitutes acceptance of the revised Terms. If you do not agree to the revised Terms you must stop using the platform.

24. Waiver

Soradin's failure to enforce any provision of these Terms at any time does not constitute a waiver of its right to enforce that provision at any time in the future. No waiver of any provision of these Terms shall be effective unless in writing.

25. Severability

If any provision of these Terms is found to be invalid or unenforceable that provision shall be modified to the minimum extent necessary to make it enforceable and the remaining provisions shall continue in full force and effect.

26. Entire Agreement

These Terms together with Soradin's Privacy Policy constitute the entire agreement between you and Soradin regarding your use of the platform and supersede any prior or contemporaneous agreements, representations or understandings whether oral or written.

27. Governing Law

For Canadian users these Terms are governed by the laws of Ontario, Canada. For US users these Terms are governed by the laws of the State of Delaware. Nothing in these Terms limits any rights users may have under applicable consumer protection laws in their jurisdiction.
